  1. ACCEPTANCE OF TERMS

1.1 These Terms constitute a binding agreement between you and COGen, LLC (“COGen,” “we,” “us,” “our”).

1.2 By accessing or using the Website, Services, Platform, or SMS messaging, you agree to be bound by these Terms and our Privacy Policy.

1.3 If you do not agree with these Terms, discontinue use immediately.

  1. DESCRIPTION OF SERVICES

2.1 COGen provides a SaaS platform, engineer/professional matching systems, alerts, communication tools, and related services.

2.2 Services may change without prior notice.

2.3 Access may require creating an account.

  1. ELIGIBILITY

3.1 Users must be at least 18 years old.

3.2 Users must have legal authority to enter into contracts.

  1. ACCOUNT REGISTRATION

4.1 You must provide accurate information.

4.2 You are responsible for maintaining confidentiality of login credentials.

4.3 You must notify COGen of unauthorized use.

  1. LICENSE & USE RESTRICTIONS

5.1 COGen grants a limited, non-transferable license for personal or internal business use.

5.2 You may NOT:

  1. Reverse-engineer, scrape, or copy Platform content.
  2. Introduce malware or harmful code.
  3. Use bots, scrapers, or automated tools without authorization.
  4. Misrepresent identity.
  5. Interfere with security or infrastructure.
  1. INTELLECTUAL PROPERTY

6.1 All Platform content is owned by or licensed to COGen.

6.2 Unauthorized reproduction or distribution is prohibited.

  1. PAYMENT TERMS

7.1 Fees are non-refundable except where required by law.

7.2 Third-party payment processors apply their own terms.

  1. SMS/TEXT MESSAGING TERMS

8.1 By opting in, you agree to receive alerts, notifications, and promotional messages.

8.2 Message frequency varies; message/data rates may apply.

8.3 Opt-out: Text STOP.

8.4 Support: Text HELP, email support@getcogen.com, or call 1 (866) 509-4722.

8.5 Carriers are not liable for delayed or undelivered messages.

8.6 Required disclosure:

“No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. Information sharing to subcontractors in support services, such as customer service is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.”

  1. PRIVACY POLICY INTEGRATION

9.1 The Privacy Policy governs all data handling.

9.2 SMS opt-in data is never shared.

  1. THIRD-PARTY SERVICES

10.1 Vendors may assist with operations but may not use data for marketing.

10.2 COGen is not responsible for external website content.

  1. USER-GENERATED CONTENT

11.1 Users grant COGen a license to use uploaded or submitted content.

11.2 Users represent submitted content does not violate laws or rights.

  1. DATA SECURITY

12.1 COGen uses commercially reasonable measures.

12.2 No system is 100% secure.

  1. DISCLAIMERS

13.1 Services are provided AS IS and AS AVAILABLE.

13.2 No warranty of accuracy, uptime, or results.

  1. LIMITATION OF LIABILITY

14.1 COGen is not liable for:

  1. Indirect or consequential damages,
  2. Lost profits, revenue, or data,
  3. Service interruptions or SMS issues.

14.2 Maximum liability is $100 or the amount paid, whichever is greater.

  1. INDEMNIFICATION

15.1 You agree to indemnify and hold harmless COGen for violations, misuse, or legal breaches arising from your actions.

  1. TERMINATION

16.1 COGen may terminate access for violations or misuse.

16.2 Termination does not relieve outstanding payment obligations.

  1. ELECTRONIC COMMUNICATIONS CONSENT

17.1 You consent to electronic signatures and communications.

  1. ACCESSIBILITY

18.1 Policies are accessible via the website footer.

18.2 Alternate formats may be provided upon request.

  1. ARBITRATION AGREEMENT

19.1 All disputes shall be resolved through binding arbitration in Arizona.

19.2 Users waive rights to class actions and jury trials.

  1. GOVERNING LAW

20.1 Arizona law governs this Agreement.

  1. MODIFICATION OF TERMS

21.1 COGen may update Terms at any time.

21.2 Continued use constitutes acceptance.
